Shopper District (“Shopper District”, “we”, “us”) is an online marketplace at https://shopperdistrict.com operated by Ahmed Razeen, trading as Shopper District, 61 Bridge Street, Kington, HR5 3DJ, United Kingdom. It lets independent sellers open a shop and sell physical and digital items to buyers. These Terms apply to everyone who uses the site, whether browsing, buying or selling. By creating an account, placing an order or opening a shop you agree to them. If you do not agree, please do not use the site.

Section 12 contains additional terms that apply only to sellers. Our Privacy Policy explains how we use personal data and forms part of these Terms.

1. What Shopper District is, and is not

Shopper District provides the platform on which shops list items and buyers purchase them. Each sale is a contract between the buyer and the seller of that shop, not with Shopper District. Sellers are responsible for their listings, the accuracy of descriptions, the quality and legality of what they sell, dispatch, delivery and after-sales service. Shopper District does not manufacture, stock, inspect or ship items and is not a party to the sale, but we do provide the tools described in these Terms to help resolve problems and we may step in where a seller does not.

2. Accounts

You must be at least 18 to open an account or buy. You may register with an email address and password or with a supported social sign-in.
Keep your login details confidential; you are responsible for activity on your account. Tell us at once at support@shopperdistrict.com if you think it has been compromised.
Give us accurate information and keep it up to date. One person may not hold more than one seller account without our agreement.
We may suspend or close accounts that break these Terms, the law, or put buyers, sellers or the site at risk (see section 14).

3. Buying

Prices are set by each seller in the seller's currency. You may choose to view approximate prices in another currency; the amount you are charged is the seller's currency amount, converted by your card issuer at its own rate. Approximate conversions are shown with “≈” and the time of the exchange rate used.
A basket containing items from several shops is checked out as a separate order for each shop.
Delivery charges, delivery services and estimated transit times are set by the seller and shown before you pay. Estimated dates are estimates, not guarantees.
Your order is accepted when payment succeeds and you receive the order confirmation. The seller may cancel and refund an order if an item is unavailable or cannot be sent to your address.
Digital items are delivered as downloads from your order page once payment succeeds. Download links may be limited in time and number of downloads, as shown on the listing.
Some sellers let you collect items in person instead of having them posted. You still pay on the site; collection is free, and the seller's collection address is shared with you after you pay. You must collect within the dates shown on your order (up to 7 days after the item is ready), or the seller may cancel the order and refund you. Collection is arranged directly between you and the seller, and you attend at your own risk: we don't check anyone's identity or attend handovers. Meet somewhere safe, check the item before you show your collection code, and never pay anything outside the site.
Personalised items are made to your instructions. Check your personalisation text carefully; sellers are not obliged to accept changes once production has started.

4. Payments

Payments are processed by Stripe. When you pay, your card is charged by the seller's Stripe account; Shopper District collects its marketplace fee from the seller as part of the same transaction. We do not see or store your full card details. The name on your card statement will be the shop name, prefixed with “SHOPDIST” where the seller has kept the default descriptor.

5. Cancellations, returns and refunds

Each shop states its own return and exchange policy on its listings. In addition, if you are a consumer in the UK or EU you have statutory rights that a shop policy cannot remove:

Right to cancel (distance selling). For most physical items you may cancel within 14 days of receiving them, for any reason, and return them for a refund. This right does not apply to personalised or made-to-order items, sealed goods unsealed after delivery where hygiene is a concern, perishable goods, or digital content once you have started the download with your agreement.
Faulty, damaged or not as described. You are entitled to a repair, replacement or refund from the seller, regardless of the shop's policy.

To ask for a refund, use Request a refund on your order page. The seller has to respond within the time shown there. If you disagree with the seller's decision you can escalate the request to Shopper District, and we will review both sides and may issue a refund on the seller's behalf. Refunds go back to the original payment method. If a refund is approved in full, any digital downloads from that order are withdrawn.

Nothing in these Terms affects your statutory rights.

6. Reviews and messages

You may leave reviews of items you have bought and message sellers about their items. Reviews must be honest and based on your own experience. Do not use messages or reviews to harass anyone, to arrange sales outside the site, or to post other people's personal data. We may remove content that breaks these rules. Our review policy, How reviews work, explains who can review, how ratings are worked out and how we deal with fake reviews; sellers must not offer anything in return for a review.

7. Acceptable use

You must not use the site to do anything unlawful, to infringe anyone's rights, to upload malicious code, to scrape or copy the site or its content, to interfere with its operation, or to impersonate others. The categories of items that may not be sold are listed in section 12.

8. Content and intellectual property

You keep ownership of the photos, text and files you upload. You give Shopper District a worldwide, royalty-free licence to host, display, reproduce and promote that content on the site and in our marketing, for as long as it is on the site. You confirm you have the right to upload it. The site itself, its design and its software belong to Shopper District or its licensors.

9. Our liability

We provide the platform with reasonable skill and care, but we do not promise it will always be available or error-free. Because sales are between buyers and sellers, Shopper District is not liable for the items sold, for a seller's acts or omissions, or for losses that were not a foreseeable result of our breaking these Terms. Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law. Where we are liable to a seller in connection with the platform, our total liability in any 12-month period is limited to the marketplace fees that seller paid us in that period.

10. Changes to the site and these Terms

We may change the site and these Terms. For material changes we will give notice on the site or by email before they take effect. Continuing to use the site after that means you accept the new Terms.

11. Governing law and complaints

These Terms are governed by the law of England and Wales and its courts have jurisdiction, except that consumers resident elsewhere in the UK or EU may rely on the mandatory consumer laws and courts of their own country. If you have a complaint, contact us at support@shopperdistrict.com and we will try to resolve it. UK consumers can also use the Citizens Advice consumer service.

12. Seller terms

These additional terms apply when you open a shop.

12.1 Eligibility and set-up

You must be legally able to run a business in the country you sell from, and that country must be one where our payment provider supports payouts (shown when you open your shop). Business sellers must comply with consumer-protection, product-safety, distance-selling and tax rules that apply to them, including displaying legally required information.
Payouts require a Stripe account, opened through Shop Manager, in your own name. Stripe's own terms of service apply to that account. Buyers cannot check out from your shop until Stripe has activated it.

12.2 Fees

Opening a shop and listing items is free. When you make a sale we charge a marketplace fee on the item subtotal, after any discount code you give: 3% + £0.20. The fee is collected from the sale proceeds through Stripe.
Stripe charges its own card-processing fee (and any currency-conversion fee) on each payment, which is deducted from your Stripe balance at Stripe's published rates.
When you refund a buyer, the marketplace fee on the refunded amount is returned to you. Stripe's processing fee is not returned. If a card chargeback is lost, the disputed amount and any dispute fee are charged to your Stripe balance and the marketplace fee is returned to you.
We may change fees on 30 days' notice; changes apply to orders placed after the change.

12.3 Listings and what you may sell

Listings must be accurate, use photos of the actual item (or a faithful representation for made-to-order items), and disclose if a production partner makes the item.
You must not sell: anything illegal or unsafe; counterfeit or unauthorised branded goods; items that infringe copyright, trade marks or design rights; weapons, drugs, tobacco, vaping products or alcohol; medicines or medical devices; hazardous materials; live animals or animal products from protected species; adult content; hateful or discriminatory items; stolen goods; items you do not have the right to sell. We may remove listings and suspend shops that breach this.
Digital items must be your own work or content you are licensed to sell, delivered as the file(s) you upload.

12.4 Orders, delivery and service

You must honour the price, delivery service and processing time shown on the listing when the order was placed, dispatch within your stated processing time, and enter dispatch and tracking details in Shop Manager so the buyer is notified.
You must respond to buyer messages and refund requests within the times shown in Shop Manager, and comply with buyers' statutory rights (section 5) and your own stated return policy.
You must not direct buyers to complete purchases outside the site.
Collection in person is optional, and we recommend posting orders instead. If you offer it, you arrange and attend each collection at your own risk and should follow our safety advice in Shop Manager. Hand items over only when the buyer shows their collection code, confirm the handover on the order, and never ask for or accept any payment outside the site. If a buyer doesn't collect in time, cancel and refund the order.

12.5 Refunds, disputes and chargebacks

You can refund an order fully or partly from Shop Manager. Refunds are taken from your Stripe balance.
Where a buyer escalates a refund request, Shopper District may decide it and, where justified, refund the buyer from your Stripe balance. We will tell you the reason.
Card chargebacks are handled through your own Stripe account, where you can submit evidence. You are responsible for the outcome.

12.6 Taxes and records

You are responsible for VAT, income tax and any other taxes on your sales, for issuing invoices or receipts where required, and for any reporting obligations that apply to online sellers. Shop Manager provides order and payout information to help you keep records.

12.7 Shop suspension and closure

We may suspend or close a shop for breach of these Terms, repeated buyer complaints, suspected fraud, or legal or payment-provider requirements. Orders already paid must still be fulfilled or refunded. You may close your shop at any time; you remain responsible for outstanding orders.

13. Marketplace administration

Shopper District is operated independently of the shops on it. Administrators do not sell on the marketplace. We may remove listings, edit categories, and restrict features where needed to keep the marketplace safe and lawful.

14. Suspension and termination

If you break these Terms we may warn you, remove content, restrict features, or suspend or close your account, depending on how serious the breach is. You may close your account at any time by contacting us; we will keep records we need for legal, tax and dispute purposes as described in the Privacy Policy.
